POSITION:

A paralegal with experience in commercial real estate transactions, including assistance with the preparation of closing documents, sales agreements, leases, and other legal documents with the General Counsel, as well as assisting the General Counsel with all other Legal Department matters, as necessary.

 

ESSENTIAL RESPONSIBILITIES:

  • Review and assemble closing documents, purchase and sale agreements, leases, deeds and other conveyance documents, communications, and ancillary legal documents.
  • Assist with transactional due diligence. Assist with analysis of third-party material including ALTA surveys, environmental, geological, and wetland reports.
  • Coordinate real estate title commitments and zoning reports.
  • Provide executive-level summaries of purchase and sale agreements, leases, and construction documents, including due dates and calendar items.
  • Manage the company’s legal entities, including the creation of and maintaining of company’s various legal entities across multiple states. Assist with preparation of operating agreements and authorizing resolutions. Coordinate registered agent relationships with out-of-state entities.
  • Create, assemble, and distribute American Institute of Architects contract documents for various construction projects. Coordinate with the project manager, construction manager, accounting manager and General Counsel for timely delivery and execution of the construction contract documents.
  • Maintain the various insurance policies and coverage for the company for all projects and acquisitions. Will work directly with the company’s insurance broker or carrier on policy renewals and instituting new coverage.
  • Assist with legal research for General Counsel and other executives within the company.
  • Manage necessary legal compliance practices, including compiling and filing necessary documents to satisfy company reporting requirements.
  • Correspond orally and in writing with company associates, outside counsel, project partners, lender representatives, and vendors.

 REQUIRED KNOWLEDGE, SKILLS, AND ABILITIES: 

  • Bachelor’s degree or some college preferred.
  • Minimum 3 years’ experience as a legal assistant or paralegal.
  • Commercial real estate experience is required. ​
  • Experience with American Institute of Architects contract documents is preferred.
  • High level of confidentiality.
  • Superior organizational skills and a demonstrated ability to effectively manage a varied portfolio of projects and legal matters.
  • Ability to communicate professionally with internal and external parties.
